Section 1-1104. QUORUM

1104.1Except as otherwise provided in the Act or in these Guidelines, three (3) Members shall constitute a quorum for the Board to conduct a meeting or for the transaction of business.

1104.2No Member may vote on any matter by proxy or by any attorney-in-fact.

1104.3No vacancy in Membership shall impair the right of a quorum to exercise all rights and perform all duties of the Board.

1104.4Any Member may participate in a meeting of the Board, or a committee of the Board, by means of a conference telephone or by any means of communication by which all persons participating in the meeting are able to hear one another, and such participation shall constitute presence in person at the meeting.
