Section 17-602. BUSINESS ORGANIZATIONS FILING FEES

    602.1The following fees shall be charged for filings by business organizations:

     

    (a) The fee for filing articles of incorporation shall be as follows:

     

    (1) For a corporation with authorized capital up to one hundred thousand dollars ($100,000): two hundred twenty dollars ($220);

     

    (2) For a corporation with authorized capital between one hundred thousand one dollars ($100,001) and five hundred thousand dollars ($500,000): five hundred fifty dollars ($550);

     

    (3) For a corporation with authorized capital between five hundred thousand one dollars ($500,001) and one million dollars ($1,000,000): one thousand one hundred dollars ($1,100); and

     

    (4) For a corporation with authorized capital of at least one million one dollars ($1,000,001): one thousand six hundred fifty dollars ($1,650);

     

    (b) The fee for filing statement of domestication shall be as follows:

     

    (1) For a corporation with authorized capital up to one hundred thousand dollars ($100,000): two hundred twenty dollars ($220);

     

    (2) For a corporation with authorized capital between one hundred thousand one dollars ($100,001) and five hundred thousand dollars ($500,000): five hundred fifty dollars ($550);

     

    (3) For a corporation with authorized capital between five hundred thousand one dollars ($500,001) and one million dollars ($1,000,000): one thousand one hundred dollars ($1,100); and

     

    (4) For a corporation with authorized capital of at least one million one dollars ($1,000,001): one thousand six hundred fifty dollars ($1,650);

     

    (c) Surrender of charter upon domestication: two hundred twenty dollars ($220).

     

    (d) Abandonment of domestication: the fee shall be equal to the fee for filing a statement of domestication.

     

    (e) The fee for filing articles of amendment shall be as follows:

     

    (1)For amendments that do not increase or decrease shares: two hundred twenty dollars ($220);

     

    (2)For amendments that include an increase in shares, the following fees shall apply:

     

    (A)For a corporation with authorized capital up to one hundred thousand dollars ($100,000): two hundred twenty dollars ($220);

     

    (B)For a corporation with authorized capital between one hundred thousand one dollars ($100,001) and five hundred thousand dollars ($500,000): five hundred fifty dollars ($550);

     

    (C)For a corporation with authorized capital between five hundred thousand one dollars ($500,001) and one million dollars ($1,000,000): one thousand one hundred dollars ($1,100); and

     

    (D)For a corporation with authorized capital of at least $1,000,001): one thousand six hundred fifty dollars ($1,650);

     

    (3) For restated articles of incorporation that do not increase or decrease shares: two hundred twenty dollars ($220);

     

    (4) For restated articles that include an increase in shares, the following fees shall apply:

     

    (A) For a corporation with authorized capital up to one hundred thousand dollars ($100,000): two hundred twenty dollars ($220);

     

    (B) For a corporation with authorized capital between one hundred thousand one dollars ($100,001) and five hundred thousand dollars ($500,000): five hundred fifty dollars ($550);

     

    (C) For a corporation with authorized capital between five hundred thousand one dollars ($500,001) and one million dollars ($1,000,000): one thousand one hundred dollars ($1,100); and

     

    (D) For a corporation with authorized capital of at least one million one dollars ($1,000,001): one thousand six hundred fifty dollars ($1,650);

     

    (5) For amendments pursuant to reorganization that do not increase or decrease shares: two hundred twenty dollars ($220); 

     

    (6) For amendments pursuant to reorganization that include an increase in shares, the following fees shall apply:

     

    (A) For a corporation with authorized capital up to one hundred thousand dollars ($100,000): two hundred twenty dollars ($220);

     

    (B) For a corporation with authorized capital between one hundred thousand one dollars ($100,001) and five hundred thousand dollars ($500,000): five hundred fifty dollars ($550);

     

    (C) For a corporation with authorized capital between five hundred thousand one dollars ($500,001) and one million dollars ($1,000,000): one thousand one hundred dollars ($1,100); and

     

    (D) For a corporation with authorized capital of at least one million one dollars ($1,000,001): one thousand six hundred fifty dollars ($1,650);

     

    (7) For filing restated articles of incorporation, articles of merger, or share exchange: two hundred twenty dollars ($220);

     

    (8) Abandonment of a merger or share exchange: two hundred twenty dollars ($220);

     

    (9) Dissolution by incorporators or initial directors: two hundred twenty dollars ($220);

     

    (10) Articles of dissolution: two hundred twenty dollars ($220);

     

    (11) Revocation of dissolution: two hundred twenty dollars ($220);

     

    (12) Decree of dissolution: no fee.

     

    (13) Certificate of good standing or status certificates: fifty dollars ($50);

     

    (14) Certified copy of filing: fifty dollars ($50);

     

    (15) Biennial report: three hundred dollars ($300);

     

    (A) Late fee: an additional one hundred dollars ($100);

     

    (16) Reservation of name or its transfer: fifty dollars ($50);

     

    (17) Registration of name or renewal: two hundred dollars ($200);

     

    (18) Change of registered agent by entity: fifty dollars ($50);

     

    (19) Change of name or address by noncommercial registered agent: fifty dollars ($50);

     

    (20) Foreign registration statement: two hundred twenty dollars ($220);

     

    (21) Amendment of foreign registration statement: two hundred twenty dollars ($220);

     

    (22) Withdrawal of registration of registered foreign entity: two hundred twenty dollars ($220);

     

    (23) Withdrawal on dissolution or conversion to non-filing entity other than limited liability partnership: two hundred twenty dollars ($220);

     

    (24) Transfer of registration: two hundred twenty dollars ($220);

     

    (25) Termination of registration reinstatement: three hundred dollars ($300);

     

    (26) Reinstatement after administrative dissolution: three hundred dollars ($300);

     

    (27) Statement of merger: two hundred twenty dollars ($220);

     

    (28) Amendment or abandonment of statement of merger: two hundred twenty dollars ($220);

     

    (29) Statement of interest exchange: two hundred twenty dollars ($220); and

     

    (30) Amendment or abandonment of statement of interest exchange: two hundred twenty dollars ($220).
