Section 26-B214. EXCHANGE OFFERS

214.1No offer, sale, exchange or distribution of the securities shall be made pursuant to § 402(19) of the Act until the Commissioner has provided the issuer with a written opinion granting the exemption.

214.2A request for a written opinion granting an exemption under § 402(19) of the Act shall be accompanied by a fee provided for in § 249.10.
